Terms of Service

These Terms govern your use of earlybird.africa and related Earlybird Capital Markets Ltd services (the “Platform”). By creating an account or using the Platform you agree to them. If you do not agree, do not use the Platform.


1. Who we are

Earlybird Capital Markets Ltd operates an online marketplace connecting eligible investors with businesses seeking capital. Contact: support@earlybird.africa.

2. Accounts

You must provide accurate information and keep your credentials confidential. One email address may be associated with one account. You are responsible for activity under your account. We may require email and/or phone verification before certain actions (including investing or submitting KYC/KYB).

3. Investing & raising

Investing and fundraising features are available only where enabled and only to users who complete required checks. Ticket sizes, retail per-project yearly caps, and product rules are shown in-product. Capital may be held pending raise outcomes as described for each opportunity. Earlybird does not guarantee that any raise will succeed or that any investment will return capital or yield.

4. Acceptable use

You may not misuse the Platform, attempt unauthorised access, submit false documents, or use Earlybird for money laundering, fraud, or other unlawful activity. We may suspend or terminate access and report matters to authorities where required.

5. Intellectual property

Platform software, branding, and content (other than materials you upload) belong to Earlybird or its licensors. You retain rights in your own submissions but grant Earlybird a licence to host and process them to operate the service.

6. Liability

To the fullest extent permitted by Kenyan law, Earlybird is not liable for investment losses, issuer default, third-party payment or messaging failures, or indirect or consequential damages. Nothing in these Terms excludes liability that cannot be excluded by law.

7. Changes

We may update these Terms as the product and regulatory position evolve. Material changes will be reflected on this page with an updated date. Continued use after changes constitutes acceptance.

8. Governing law

These Terms are governed by the laws of Kenya. Disputes are subject to the courts of Kenya, without prejudice to mandatory consumer protections.
